1Acceptance and effect

This User Agreement ("Agreement") is between you ("User" or "you") and MacXCode ("we" or "the Platform") and is legally binding on both parties.

You are deemed to have read, understood, and accepted the entire Agreement if you:

  • Click "Agree", "Confirm", or similar on signup, sign-in, or checkout;
  • Access, browse, or otherwise use any service we provide;
  • Complete account registration.

If you do not agree, stop using all services immediately.Minors may not register for or use the Service.

2Services

MacXCode provides cloud Mac Mini M4 rentals and related services on Apple Silicon, including but not limited to:

  • Dedicated physical server rental (daily / weekly / monthly / quarterly)
  • SSH remote terminal access
  • VNC graphical remote desktop
  • Network connectivity and bandwidth
  • Basic technical support

We may adjust, add, or discontinue features at any time without prior notice and without liability. The Service as actually provided prevails.

3Account registration and security

3.1 Registration

You must provide true, accurate, and complete information and keep it current. You bear all consequences of false information. Each person may register and hold only one account.

3.2 Account security

Safeguard your password and credentials. All activity under your account is deemed yours, and you are legally responsible. Notify us via ticket if you suspect compromise; we are not liable for actions before we are informed.

3.3 No transfer

Without our written consent, you may not sell, lend, lease, or otherwise let third parties use your account or benefits. We may suspend offending accounts without refund.

4Acceptable use and prohibited conduct

You will use the Service only for lawful purposes and comply with applicable laws.The following are strictly prohibited. Violations may result in immediate suspension without refund:

  • Activities that violate any national or regional law
  • Network attacks, DDoS, port scanning, or intrusion
  • Spam or phishing
  • Distributing malware, viruses, ransomware, or similar harmful code
  • Cryptocurrency mining without authorization
  • Operating proxies, VPNs, or traffic relay services without written approval
  • Infringing others' IP, privacy, or other rights
  • Any conduct that may harm our infrastructure, network stability, or other users
  • Circumventing or attempting to circumvent security or technical limits
We may monitor account activity as reasonably necessary. For suspected violations we may suspend service and investigate without prior notice. Fees continue to accrue during investigation.

5Payment and billing

5.1 Fees

All prices are in USD and prepaid before service starts. Once you choose a term (day / week / month / quarter), you cannot shorten it retroactively. Fees paid are non-refundable.

5.2 Auto-renewal

Unless you disable auto-renew in the console before the current period ends, we will charge and extend the same term automatically.

5.3 Price changes

We may change pricing. Your current term is unaffected; new prices apply from the next billing period.

5.4 Taxes

Listed prices exclude applicable taxes. You are responsible for all tax obligations arising from use of the Service.

6Service levels and availability

6.1 Availability target

We aim for reliable service with a monthly network availability target of 99.0%(excluding planned maintenance and force majeure). This is an aspiration, not a legally binding SLA.

6.2 Planned maintenance

We will try to announce maintenance windows in advance but may perform emergency maintenance without notice. Downtime during maintenance does not count toward SLA metrics.

6.3 Resource use

Your server has defined CPU, memory, storage, and bandwidth. If your usage unreasonably impacts shared network or other users, we may throttle or suspend resources without notice.

7Data and backups

You are solely responsible for backups.We do not provide automatic backups and are not liable for any loss, corruption, or unrecoverable data, including but not limited to:

  • Hardware failure or accidental damage
  • Deletion after service ends or account suspension
  • Human error or software defects
  • Natural disasters or other force majeure

After expiry or termination, all data on the server will be permanently erased within 72 hours,and cannot be recovered. Migrate data before the service ends.

Back up important data regularly to external storage or another cloud service.

8Intellectual property

All MacXCode platform content—including design, UI, text, graphics, logos, code, APIs, and documentation—is proprietary and protected under PRC and international IP law. No copying, modification, distribution, or derivative works without written permission.

You retain ownership of content you store on servers. You grant us a limited, non-exclusive license necessary to process, transmit, and store that content while providing the Service.

You grant us the right to use anonymized, aggregated usage data to improve performance, conduct research, and optimize the Service.

9Disclaimers

To the fullest extent permitted by law, MacXCode disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for:

  • Outages caused by general or regional internet failures or carrier network issues
  • Interruptions due to force majeure (natural disasters, war, government action, epidemics, etc.)
  • Failures or changes by third parties (payment processors, upstream networks)
  • Hacking, intrusion, or other malicious third-party acts
  • Data loss or system damage from your own misuse
  • Third-party claims arising from content you store
  • Suspension or termination required by lawful government or court orders

10Limitation of liability

In no event shall MacXCode's total liability for all claims under or related to this Agreement exceed the fees you actually paid in the calendar monthbefore the dispute arose.

MacXCode is not liable for the following, even if advised of the possibility:

  • Indirect, incidental, special, or punitive damages
  • Lost profits, opportunities, goodwill, or data
  • Losses from business interruption

Some jurisdictions do not allow certain limitations; where so, these limits apply only to the maximum extent permitted by law.

11Suspension and termination

11.1 Termination by you

You may stop service anytime by disabling auto-renew in the console. Service ends after the current period; fees paid are non-refundable.

11.2 Termination by us

We may suspend or terminate immediately without notice and without refund if:

  • You violate any prohibition in Section 4
  • Payment is overdue by more than 72 hours
  • We suspect fraud or illegal use
  • We must comply with law or lawful enforcement requests
  • Your conduct materially harms our infrastructure or other users

11.3 Data removal

After service ends, we will, within 72 hours,delete all server data linked to this account. This cannot be undone.

12Changes to terms

We may amend this Agreement anytime. Updates will be posted here with a new "Last updated" date.Continued use after changes constitutes acceptance.If you disagree, stop using the Service before the changes take effect; services already paid for in the current period remain governed by the prior terms.

13Disputes and jurisdiction

13.1 Good-faith negotiation

Disputes should first be resolved through negotiation. Contact us via tickets; we aim to respond within 5 business days.

13.2 Governing law and venue

This Agreement is governed by the laws of the People's Republic of China (excluding conflict-of-law rules). If negotiation fails, disputes shall be submitted to the people's court with jurisdiction where the operating entity is located.

13.3 Severability

If any provision is invalid or unenforceable, it will be modified to the minimum extent needed; the remainder stays in full effect.
